International Commercial Agent

This contract is used for activities requiring a commercial agent to promote the sale of goods in overseas markets. We carry out the promotion of international trade transactions for a continuous period of time as an independent intermediary without assuming liability for those transactions. We receive payment exclusively through commission on transactions which are completed successfully, and in some cases, certain costs may be taken into account, for example, trips expenses or promotional activity.

Exclusive Buying Agent

We represent your company in Iranian outlets and buy petroleum and natural gas products, and petrochemicals on behalf of you. Our responsibilities may include, among others, the following: negotiating prices, terms of delivery and payment with manufacturers and suppliers of products; managing the international transport of documents which comply with export and import procedures; assisting and serving as a translator to negotiate purchase contracts or to check on the manufacturing of products.

International Sales Agent

This contract is intended to be used when your company, which supplies products or services, is interested in expanding its sales overseas and appoints our company (the Agent) with abundant knowledge and expertise in overseas trade and international marketing.

This contract allows us to negotiate and close negotiations on your company’s behalf. Nevertheless, when negotiating with clients, we shall offer the products strictly according to the clauses and circumstances of the sale, which your company has predetermined.

We carry out our activities continuously and are paid by commission based on sales achieved, although on occasions there may be agreement as to the payment of fees for management and representation expenses.

International Long-term Supply

The purpose of such a contract is not only to arrange for the sales related aspects, but also to improve the supply relationship by providing for:

  • ensuring continuity of supply;
  • logistical aspects of supply aimed at a shortened lead time (the time between order and delivery);
  • improvement of product quality;
  • continuity in product specifications (and a mechanism for changing product specifications in case of technical developments, a change in raw materials or other developments);
  • flexibility in modifying the applicable Incoterm;
  • fluctuations in purchase prices (including price developments related to raw materials or components);
  • flexibility as regards payment (i.e. no costly L/C or other payment mechanism is required);
  • a limitation of liability by reference to the (long) duration of the contract;
  • permissible events of force majeure, tailored to the particularities.

Export Trading Company (ETC)

We provide support services for firms engaged in exporting. This may include warehousing, shipping, insuring, and billing on behalf of the client.

Additionally, we may help manufacturers find overseas buyers and provide them with other pertinent market information.

  • We handle the exportation process for clients, navigating all legal requirements and regulations that a company must follow before a country will allow its goods to be exported.
  • Also called export management companies, we can be either local or based in a foreign country, such as the country that imports the goods that the company is trying to properly export.
  • We can provide your firm with local knowledge about the laws and regulations in a foreign country, reduce training and recruitment costs, and help strategize ways to minimize exchange rate risk.

Export Management Company (EMC)

As an independent private company we act like an export department for manufacturers and suppliers. Our clients can be either local or foreign-owned. We can operate on either a commission (as an agent), a fee basis (as a consultant) or taking possession of the goods for direct export. We also have the ability to appoint sales representative in importing countries, promote goods and services of our clients, arrange transportation, provide warranties and after-sales-service, and extend import credit. We can act as:

  • An external export sales department, which represents the product of our clients along with various other non-competitive manufacturers. The relationship with our clients is established through an International Sales Representative Contract.
  • An agent for those exporters that are domestic. We establish the marketing presence in foreign markets soliciting orders from foreign customers in the name of the manufacturer. Invoicing is done of the name of the manufacturer and we help the manufacturer with all details of the export transaction. We may suggest the export price, but the principal has the final say on even whether to accept the order. The relationship with our clients is established through a International Commercial Agency Contract.
  • A consulting company with a broad experience and knowledge in the field of exports. Export management consultants typically do not hold title to exported goods, making money instead from commissions paid on each export. The relationship with its clients is established through a International Consulting Contract.
  • An exclusive distributor on a buy-sell basis. We buy manufacturers at a set price and resell to foreign customers at a price established by us. In this case, we are responsible for invoicing and bear the risk on nonpayment. It is very important to note, that we are acting as a distributor, the manufacturer may have no control over the export price and not even know the foreign clients are. The relationship with our clients is established through a International Distribution Contract.

Export management companies are similar to trading companies, but have some important differences because trading companies:

  • Specialize mainly in international purchasing and selling on behalf of foreign clients, while an ETC has no loyalty to a particular manufacturer. They are seeking the best terms for their clients.
  • Usually buy products in big orders and pay cash to suppliers.
  • Identify what foreign buyers want to spend their money on and then searches domestic sources willing to export, in comparison with Export Management Companies, which attracts buyers.
